A letter of intent (LOI) is not one standardized document. In graduate admissions it may explain academic goals, preparation and fit with a program; for a job it may express interest and connect relevant experience to an employer; in a business setting it may record proposed transaction terms before fuller agreements are negotiated. The recipient’s instructions define what belongs in the letter. Some institutions use a different name for similar application materials, and some distinguish an LOI from a personal statement or cover letter. Do not assume the title alone tells you what to write. Start by identifying the exact purpose, audience, prompt, length limit, required content, deadline and permitted assistance. Read official admissions or employer instructions. AI rules differ: Cornell Graduate School permits brainstorming and grammar or spelling review of the applicant’s own writing, but prohibits AI-generated outlines and drafts and requires disclosure of any use. Other programs may set their own rules. Do not use a model to invent credentials, research interests, personal history or claims about an organization. If AI is permitted, it can help brainstorm questions, organize your facts or flag unclear wording; verify suggestions and preserve your authorship. Business LOIs require different care. Parties may use one to outline points for negotiation, but legal consequences do not follow from the label “letter of intent” alone. Wording, conduct, applicable law and circumstances can matter. A statement that a document is nonbinding may not resolve every issue, and some provisions may be intended to bind even while other terms remain open. Do not ask AI to decide enforceability or supply boilerplate as legal advice. Have a qualified lawyer review an LOI before signing or relying on it. For any purpose, check facts, names and commitments, then submit through the required channel.
